STALFORT Legal. Tax. Audit. was established in 1997 by Dr. Gisbert Stalfort, attorney at law, and Mrs. Cristiana Stalfort, attorney at law, as a highly competitive attorney's office aiming to assist foreign investors coming to Romania. The legal advice services were soon completed by tax assistance and later on by audit and financial services provided through Stalfort & Balan Audit. Completely relying on its own efforts, our firm managed to rise up to the leading law, consulting and audit offices in Romania. The activity is focused on assisting investors from the German speaking European region. Nowadays, our firm employs more than 30 attorneys at law, tax advisors and auditors in its three offices throughout the country.

We have expert knowledge on Romanian building laws, built up in years of experience. Romanian building laws are quite different than the well known Western European regulations.

- All real estate transactions in connection with the expansion of the Tengelmann company group (PLUS- supermarkets) all over Romania;
- Real estate due diligence and securing for several clients in view of the erection of wind and solar energy parks;
- Due diligence and consultancy related to the market entry of an Austrian market leader in the field of technical commerce (Haberkorn Ulmer group) by acquisition of a Romanian company;
- Contract drafting and consultancy on competition legislation with regard to the transfer of a renowned Romanian spice business by our long time client Dr. Oetker;
- Contract drafting and negotiation for a renowned German construction company regarding the sale of a factory as well as the pertaining business line of manufacturing and sale of concrete products to a competitor (asset deal);
- Market entry of the German Killtec company group by acquisition of a Romanian business;
- Acquisition by our long time client Leoni of the major producing part of a plant owned by automotive producer AEES Power Systems SRL, together with the pertaining wire harness and spare parts manufacturing business (asset deal);
- Support for the Tengelmann group regarding all Romania- related legal issues with regard to the sale of the PLUS business to the Lidl group;
- Drafting of a loan agreement as well as pledge and other agreements in view of the introduction of a new credit product on the Romanian market by the subsidiary of a German bank;
- Drafting of inter-company agreements for the optimization of the operation of several companies belonging to the Schaeffler / Continental company group;
- Legal advice and support on real estate issues in view of the expansion of the Austrian furniture trading company group Kika/ Leiner;
- Consultancy, contract drafting and implementation of the reorganization of the Leineweber company group in Romania;
- Representation of a renowned water treatment specialist (Ovivo Water) in an arbitration procedure following FIDIC- rules;
- Labour law consultancy regarding job cuts, mass layoff and the avoidance thereof, closing of departments etc.;
- Consultancy for HR departments of several clients regarding the termination of labor agreements in problematic cases, including litigation arising therefrom;
- Collective negotiations with trade unions, conclusion and registration of collective bargaining agreements;
- Drafting and negotiation of several agreements following the appointment of managing directors;
- Substantial representation in complex litigation regarding all legal matters resulting from a ill-incorporated joint venture in the field of stone and gravel.
